VOCA Licence Agreement
This End User Licence Agreement ("Agreement") is a legal agreement between you ("you", "Licensee") and Neil Farrimond ("Licensor", "we"), regarding the software application VOCA · Live Show Assistant ("VOCA") for macOS, including its user interface, documentation, caption overlay designs, and any updates provided to you (together, the "Software"). VOCA was previously distributed under the names Live Show Captions and Live Show Director; this Agreement covers the Software under all of those names, and a licence bought for Live Show Captions or Live Show Director is a licence for VOCA.
By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. Licence Grant
Subject to your compliance with this Agreement, Licensor grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on Apple Mac computers that you own or control, for your own live-production and content creation, in accordance with any documented activation limits. A paid licence is a one-time purchase and is perpetual; it is not a subscription and does not renew. Use during the free trial period described in section 5 is licensed on the same terms for the duration of that trial.
2. Ownership
The Software is licensed, not sold. Licensor retains all right, title and interest in and to the Software, including all copyright in its source code, object code, user interface, visual designs, caption styles, icons, text, documentation, and the "VOCA" and "VOCA · Live Show Assistant" names and branding. No rights are granted to you other than those expressly stated in this Agreement.
3. Restrictions
You must not, and must not permit or assist anyone else to:
- copy, distribute, sell, rent, lease, lend, sublicense, or make the Software available to third parties, except as expressly permitted;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by mandatory law (including Articles 6–7 of Decree-Law 252/94 implementing the EU Software Directive), and then only within those limits;
- modify, adapt, translate, or create derivative works of the Software or its user interface;
- reproduce the Software's distinctive user interface, caption overlay designs, visual styles, or documentation in or for a competing product;
- circumvent, disable, or tamper with licensing, activation, trial, or feature-gating mechanisms, or share, publish, or resell licence keys;
- remove or alter any copyright, trademark, or proprietary notices;
- use the Software in violation of applicable law, or to create captions or overlays for unlawful content.
4. Licence Keys
The Software is unlocked by a licence key issued to you personally after a one-time payment. A key is valid for the number of Macs stated at purchase (currently two). Licensor may revoke keys that are shared, resold, leaked, or obtained fraudulently, without refund.
5. Free Trial
The Software may be used free of charge for a seven (7) day trial period, which begins the first time you start a captioning session rather than at installation. No payment details are taken for the trial and there is nothing to cancel. The trial provides the full functionality of the Software. When the trial period ends the Software will stop captioning until a valid licence key is entered; your settings, voice prints and other local data are unaffected and remain on your Mac. One trial is provided per Mac. Licensor may change the length or scope of the trial in future versions.
If you choose to provide an email address when starting the trial, it is used solely to send you correspondence about the trial itself, and you may unsubscribe at any time.
6. Privacy; Local Processing
The Software does not transmit your audio, captions or voice-print data to Licensor. Voice prints and settings are stored locally on your machine. See the Privacy Policy at https://neilfarrimond.live/privacy-policy/#voca for details, including licence checks, trial and update checks, and how speech recognition works on each macOS version.
6A. Third-Party Services
The Software can optionally connect to third-party services you choose, such as YouTube and Restream. Your use of each service is governed by that service's own terms. By connecting a YouTube account to the Software, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms), and Google processes your data under the Google Privacy Policy (https://policies.google.com/privacy). You can disconnect a service at any time in the Software, and you can revoke the Software's access to your Google account at https://myaccount.google.com/connections. You are responsible for content the Software posts to a service at your instruction.
7. Updates
Licensor may provide updates at its discretion. Updates may add, change, or remove features. This Agreement applies to all updates unless accompanied by different terms.
8. Warranty Disclaimer
The Software is provided "as is" without warranty of any kind, express or implied, including fitness for a particular purpose. Live transcription is imperfect by nature: Licensor does not warrant that captions will be accurate, uninterrupted, or error-free, and the Software is not suitable as a sole accessibility or compliance solution. Nothing in this Agreement excludes warranties or rights that cannot be excluded under Portuguese or EU consumer law.
9. Limitation of Liability
To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or broadcast opportunities, arising from or related to the Software. Licensor's total aggregate liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim. Nothing in this Agreement limits liability that cannot be limited by law.
10. Termination
This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination you must cease using the Software and destroy all copies. Sections 2, 3, 8, 9, and 11 survive termination.
11. Governing Law and Jurisdiction
This Agreement is governed by the laws of Portugal and applicable EU law. Disputes are subject to the exclusive jurisdiction of the Portuguese courts, without prejudice to mandatory consumer-protection rules that let consumers sue or be sued in their country of residence.
